1. Overview

Applicability

This agreement applies to all “Tixa” software versions provided to you through any means of delivery. Any software specified to be govern by the “Tixa End-User License Agreement”, “Tixa EULA”, “Tixa End-User License” or any keywords such as may contain “Tixa”, “End-User”, “License” and “Agreement” as a copyright pointer.

Additional Terms

Rivahlax through its association with other third-party may require you to accept their own terms of use. Please note that by accepting the Tixa End-User License Agreement, you also accept all third-party terms associated within the software. We have taken out time to personally review these terms (if they exist) on your behalf and can assure that they do not in any way hinder your use of Tixa or contain hidden segments or sections which may be harmful to you later on.

Designated Location of Users

This software is comprehensively designed for use within the Federal Republic of Nigeria but not limited to. Interested users may make use of this software bearing in mind that the components were designed in standard to suit this location. When we have provided sufficient support for another country, we shall duly specify.

2. Usage Rights

License

TThis software is licensed for use and not sold. This software may be used as long as you have a valid Rivahlax Account and paid subscription. The software however, remains a property of Rivahlax even during your use and although it may be modified, updated or upgraded, we shall do so after informing you of the changes through any suitable means of communication.

Device

In this agreement, “device” means a hardware system (whether physical or virtual) with an internal storage device capable of running the software. A hardware partition or blade is considered to be a device. By this definition, through a Rivahlax Account, Tixa Membership or Associate account and a valid subscription, the software may be used on any device.

Restrictions

This software may not be repackaged, redistributed and sold. Any copy of this software made through parts or whole sections of the source code is hereby unlawful and renders your rights to use this software invalid.

Multiple Use

This software is designed to be used on multiple systems due to the different roles offered by the software. The software can be used only by the Administrator; who shall indeed be the Rivahlax Account holder who manages the license, the Member(s); who shall be the designated users of the software through which changes may be made to the database according to their different roles and in an optional capacity the Associate(s); who shall be the additional users of the software who shall perform read-only and basic database manipulation functions.

3. Privacy

Your privacy is important to us. Some of the software features send or receive information when using those features. By accepting this agreement and using the software you agree that Rivahlax may collect, use, and disclose the information as described in the Rivahlax Privacy Policy and as may be described in the user interface associated with the software features.

4. Transfer

You may not decide on your own to transfer your rights to use this software to any third-party of your choice regardless of how it was delivered to you. Anyone else who chooses to make use of this software should also own a Rivahlax Account, purchase a subscription and will be accorded the full terms of this agreement thereafter.

5. Subscription & Licensing

To initially use this software, you may do so freely or through a trial of a stipulated amount of time. Software offered through a free-to-use policy may be used for free for as long you wish with the option of subscribing to a paid version, while software offered through a trial policy may be used for the specified designated time after which you must subscribe to a paid version to continue using the software.

If you subscribe to a paid version with your Rivahlax Account, the software may will have the designated features available to you. If you cancel your subscription to the paid version, some or all of the features of the software will be limited or rendered unavailable until you re-subscribe to the paid version again.

6. Data Properties

Updates & Upgrades

Rivahlax shall update without prior consent any or all aspects of the content of this software but with due prior notification informing you of the changes and their potential impact. Rivahlax may choose whether or not to provide you with the ability to roll back or downgrade to previous versions. Also, any file or data stored on our server during an update or upgrade of this software is duly guaranteed retention and shall not be erased. It is our responsibility to ensure that updates and upgrades are performed in a way that doesn’t affect your files.

Storage & Security

Rivahlax shall keep your data secure and safe and shall not be able to use your data stored with us without your prior consent. However, in a situation where your data is requested by the Federal Republic of Nigeria in any criminal investigation, after assessing the situation and the need for justice to prevail, we may be obliged to release your data stored with us. In this special case, we shall duly inform you of our actions directly.

Availability

Except through a prior announced scheduled maintenance, your data shall be available for you at all times. However, if for any reason, your data cannot be accessed due to an issue of any sort with our servers, Rivahlax shall endeavor to duly rectify the issue.

7. Additional Notes

Networks, Data and Internet Usage

Some features of the software and services accessed through the software may require your device to access the Internet. Your access and usage (including charges) may be subject to the terms of your cellular or internet provider agreement. Certain features of the software may help you access the Internet more efficiently, but the software’s usage calculations may be different from your service provider’s measurements.

You are always responsible for (1) understanding and complying with the terms of your own plans and agreements, and (2) any issues arising from using or accessing networks, including public/open networks. You may use the software to connect to networks, and to share access information about those networks, only if you have permission to do so.

Other Computer Software

Some features require other software to work and need to be exclusively installed by you. However, Rivahlax may direct you to obtain the necessary software from the vendor’s site through a formal link.

8. Entire Agreement

This entire agreement and its linked terms shall remain binding at all times. It shall be agreed upon before your use of the software and may be reviewed even after use. You agree to read all terms included here before your use of the software. You understand that by using the software and services, you ratify this agreement and the linked terms. The linked terms include the “Rivahlax Privacy Policy”.
